Book updated Jul 2026.
The role of a corporate director has never been more critical, complex, or scrutinized. In today’s rapidly changing global environment, directors face increased responsibilities, regulatory demands, and stakeholder expectations. To effectively navigate these challenges and add value to the organizations they serve, directors must continually sharpen their skills, expand their knowledge, and stay abreast of best practices in governance.
The National Association of Corporate Directors (NACD) Directorship Certification exam is a key component in this pursuit of excellence. Designed to validate the expertise and capabilities of board members, the certification ensures that directors possess a comprehensive understanding of the principles, regulations, and emerging trends shaping modern governance.
The NACD Directorship Certification exam, offered through the National Association of Corporate Directors, underwent a significant update effective March 1, 2025, based on an extensive validation process to ensure the program remains relevant to the evolving challenges directors face in modern boardrooms. The exam’s content domains have been reorganized to prioritize a more integrated understanding of governance, expanding from five to six core domains with notable changes in weighting, as the domain of “Provide Governance and Management Oversight” now constitutes thirty percent of the exam and is the largest domain focusing on the director’s core oversight duties, while “Ensure Effective Board Governance and Succession Planning” is a new and heavily weighted domain at twenty-five percent that emphasizes board structure and leadership continuity. The domain of “Review, Approve, and Oversee Corporate Vision, Mission, and Strategy” has become a distinct and significant topic at sixteen percent, while “Advise Executive Management” at fifteen percent and “Conduct CEO Selection, Evaluation, Compensation, and Succession Planning” at fourteen percent round out the new domains, representing shifts from the previous five-domain structure.
This book of practice questions is intended to serve as a valuable tool for candidates preparing for the NACD Directorship Certification exam. Whether you are new to board service or a seasoned director looking to enhance your credentials, this practice book is designed to help you succeed.
